Course Description Through English contracts used in international business, acquire basic knowledge on English contracts as well as business custom and legal knowledge.
Course Objective  Have students obtain skills to understand English written agreements used in international business and to acquire knowledge and understanding of commercial custom.
Learning Outcome  Students who have successfully completed this course will be able to read and understand English written agreements.
Course Progression
  1. Become familiar with common terms and legal Japanese expressions with core material “Rulebook of Expressions in Japanese Legal Documents”
  2. Following the orientation, improve skills in understanding contracts with lecture notes and exercise material (English and Japanese contracts)
  3. Listen to audio lecture and follow explanation for each unit

1 Understanding Secrecy Agreement
General purpose form is adopted as study material
2 Understanding Sale of Goods Agreement
Example of single import contract and the basic knowledge of international trade
3 Understanding Exclusive Distributorship Agreement
Example of contract for regularly importing American goods and selling them in Japan
4 Understanding Trademark License Agreement
Example of trademark license agreement between Japan and the US (license in) and basics to Trademark Law
5 Understanding Patent License Agreement
Example of technical license agreement between Japan and the US (cross license) and basics to Patent Law
6 Understanding Stock Sale & Purchase Agreement
Example of agreement for purchasing American corporations’ shares and basic knowledge of the corporation law (1)
7 Understanding Joint Venture Agreement
Example of agreement for running a Japanese-American joint corporation in the US and basic knowledge of the corporation law (2)
8 Understanding Real Estate Sale & Purchase Agreement
Example of agreement for purchasing American real estate by a Japanese corporation and common senses for American real estate’s trade
